Whether you are buying a business or selling your existing business, it is imperative to have an attorney represent your interests and ensure that the transaction has been thoroughly documented and the necessary documents are drafted for both parties to sign.  Buyers and sellers have different needs and interests we have represented both buyers and sellers in countless transactions over the years.  An important note:  An attorney should never represent both the buyer and seller since there is an inherent conflict of interest existing between the parties.  Each party should retain its own counsel for the sale to ensure all issues on each side are adequately addressed.  We can assist you prepare the letter of intent, the purchase agreement, the bill of sale, any assignments for intellectual property or the lease, the promissory note, loan agreements, personal guaranty, security agreement, transitional employment or consulting agreement, UCC1 financing statement,  as well as any additional agreements required by the specific transaction.
